Resolution No. 2016-01
 A resolution to require the Board of Trustees of the Masonic Home Foundation Inc., to amend
 their Articles of Incorporation and change them back to the exact wordage of the original Articles
 of Incorporation, as filed originally on February 28, 2000, such that the Board of Trustees of
 the Foundation Inc., shall be appointed by the Masonic Home of Montana Corporation Board of
 Trustees, who are elected by Grand Lodge at the Annual Communication; and that these amended
 Articles of Incorporation shall be filed with the Montana Secretary of State and an official certified
 copy of these documents shall be provided to the Grand Secretary of the Grand Lodge of A.F.&A.M.
 of Montana.
Be it resolved that:
The Masonic Home Foundation be directed to:
Require that the amended Articles of Incorporation of the Masonic Home Foundation, Inc. filed on February
13, 2015, with the Secretary of State, Article #5 Purposes Section (a) and Article #6 Trustees, which state
as follows:
5. Purposes (a): As provided at Section 509(a) (c) of the Internal Revenue Code, the Corporation shall be
organized and operated exclusively for the benefit of and to perform the charitable functions of publicly
supported organizations described in Sections 509(a) (1) and 509(a) (2) of the Internal Revenue Code and
Treasury Regulation section 1. 509(a)-4
6. Trustees: The corporation will be governed by a Board of Trustees who shall be Montana Masons in good
standing or members of a recognized Masonic order in Montana in the manner provided by the Bylaws. The
Trustees will establish the number of Trustees and elect its Trustees.
Shall be amended by the Board of Trustees of the Masonic Home Foundation Inc.
Be it further resolved that the Board of Trustees of the Masonic Home Foundation Inc., change the Articles
of Incorporation back to the exact wordage of the original Articles of Incorporation, as filed originally
on February 28, 2000, with the Secretary of State and that Article #5 Purposes Section (a) and Article #6
Trustees, be returned to their original wordage which state as follows:
5. Purposes (a): As provided at Section 509(a) (3) of the Internal Revenue Code, the Corporation shall be
organized and operated exclusively for the benefit of, to perform the charitable functions of, or to carry out
the charitable purposes of publicly supported organizations described in Sections 509(a) (1) and 509(a) (2)
of the Internal Revenue Code and Treasury Regulation section 1.S09(a)-4. Specifically, the Corporation
shall be operated, supervised, or controlled by the Masonic Home of Montana, a Montana nonprofit public
benefit corporation described in Section 509(a) (1) and determined to be tax exempt pursuant to Section
501(c) (3) of the Internal Revenue Code
6. Trustees: The Corporation will be governed by a Board of Trustees, who shall be appointed by the
Masonic Home of Montana in the manner provided in the Bylaws.
